1. Acceptance of Terms
These Terms of Service govern access to and use of the Baligyo website and platform. By creating an account, signing in, or using Baligyo, you agree to these Terms. If you use Baligyo for a business, you confirm that you are allowed to accept these Terms for that business.
If you do not agree, do not create an account or use the platform. These Terms apply together with the subscription information shown for the plan a business selects and with the Privacy Policy.
2. About Baligyo
Baligyo is a cloud-based point-of-sale, inventory, and business management platform for retail and other businesses in the Philippines. Baligyo operates the Baligyo website and platform. These Terms use “Baligyo” as the name of that service. They do not state a separate registered company name.
The platform includes tools for:
- point-of-sale transactions;
- products and inventory;
- stores and branches;
- customer, supplier, and employee records;
- sales, purchases, returns, and warranties;
- receipts, invoices, and reports;
- user accounts, role-based permissions, and separation between businesses; and
- subscription plans, recorded subscription payments, and operational dashboards.
Baligyo supports business operations. It does not replace a customer's own accounting, tax, legal, or regulatory obligations. The customer remains responsible for the records and filings its business must keep.
3. Eligibility and business accounts
Baligyo is offered for business use. A business may authorize employees and other users to use its account. The person who registers the business should have authority to do so.
Baligyo is not a service directed at children. Each business is responsible for deciding who may use its account and for the information those users enter.
4. Account registration and security
Registration asks for information needed to create the business and its users, including a name, email address, and password. You agree to provide information that is accurate and to keep it current.
The business and its users are responsible for keeping sign-in credentials confidential and for activity that occurs through their accounts. Access should match the roles and store permissions the business assigns. Tell Baligyo at [email protected] if you believe an account is being used without permission.
5. Business and tenant responsibilities
The customer is responsible for the accuracy and lawfulness of the business information and transaction records it enters, including products, inventory, sales, purchases, customers, suppliers, employees, returns, warranties, invoices, and receipts.
The customer must manage employee access and user permissions appropriately. Users must not try to view or change another business's data without authorization. Baligyo separates business data by tenant and store permissions. That control does not allow a user to bypass it.
6. Subscription plans, fees, and billing
Baligyo offers more than one subscription plan. Plans that may be offered include Free, Starter, Growth, Multi-Store, Pro, Business, Franchise, and Enterprise, as those plans are made available. The features, limits, and fees for a plan are shown in the product or in the applicable subscription information. Those details are not fixed in these Terms.
The Free plan does not require a subscription payment. A paid plan requires the fees shown for that plan. Fees, features, and limits may change for future billing periods. A change does not, by itself, rewrite the fee for a period that has already been paid. Any change is subject to these Terms and to applicable law.
7. Payments and subscription status
The self-service subscription payment method currently available to a business is bank transfer. A paid signup stays pending until the recorded payment is confirmed. While payment is pending, or after a paid subscription has expired, business use of the platform can be limited until payment is confirmed. An active subscription, and a subscription in a grace period, can continue to be used. The Free plan does not require that payment step.
These Terms do not provide credit-card checkout, PayPal checkout, or automatic recurring card billing. They also do not set a refund amount, a cancellation deadline, or a renewal charge. Billing questions, including any refund or cancellation request, are handled under the subscription information that applies to the account and under applicable law. You can write to [email protected] about a subscription.
8. Acceptable use
You agree not to:
- use Baligyo in a way that breaks applicable law;
- access another business's data without authorization;
- interfere with the security or operation of the platform;
- attempt to bypass authentication, permissions, or tenant separation;
- upload malicious code or use the service to harm other users; or
- misrepresent records in order to deceive Baligyo or another person.
Baligyo may investigate misuse that affects the service or other customers, and may act as described in the suspension section.
9. Customer data and ownership
The customer keeps its rights in the business data it submits to Baligyo. Baligyo does not take ownership of that data.
The customer gives Baligyo a limited permission to host, process, display, and back up that data so Baligyo can provide the service, keep it secure, and meet applicable legal duties. That permission is only for those purposes. It is not a right to use customer data for unrelated purposes.
10. Privacy and personal information
Personal information is handled as described in the Privacy Policy. A customer business may decide how it uses information about its own customers and employees. Baligyo provides the software and the processing needed to run it. Questions about personal information Baligyo handles for its own operations can be sent to [email protected].
11. Intellectual property
Baligyo keeps its rights in the software, branding, website, and platform. These Terms give the customer a right to use the service while its account is available. They do not transfer ownership of the software or the Baligyo name. You may not copy, resell, or reverse engineer the platform except where the law does not allow that restriction.
12. Service availability and maintenance
Baligyo aims to keep the platform available, but it does not promise a particular uptime percentage or response time. Availability can be affected by maintenance, technical issues, hosting and other providers, and events outside reasonable control. Maintenance may limit access for a period of time.
13. Data backups and customer responsibilities
Baligyo may keep copies of data as part of operating and protecting the service. These Terms do not promise a backup schedule or a recovery time. Customers should keep their own copies of important business information, including records they may need for accounting, tax, or operations.
14. Third-party services and integrations
Baligyo uses infrastructure and services that are not part of the application itself, including AWS, Cloudflare, and Google reCAPTCHA on registration and the public contact form. Those providers have their own terms and privacy policies.
Links from the website to other sites, including social or contact links, are also governed by those sites. Baligyo is not responsible for a third party's services once you leave Baligyo or submit information directly to that third party.
15. Suspension and termination
A customer may stop using Baligyo and may ask to close an account by emailing [email protected].
Baligyo may suspend or end access on reasonable grounds, including when:
- a required subscription payment is not confirmed;
- a paid subscription has expired;
- there is a material breach of these Terms;
- continued access creates a security risk to the service or to other customers; or
- the law requires Baligyo to do so.
Suspension or termination will be handled in line with these Terms, the applicable subscription, and Philippine law. Where it is reasonable and lawful to do so, Baligyo will tell the customer and give a chance to fix the issue, such as by completing a required payment.
16. Effects of termination and data retention
When an account is closed, suspended, or ended, access to the platform may stop. Baligyo does not treat closure as an automatic loss of all customer data. Information may still be kept when it is needed for the service that was provided, for security, for accounting or transaction records, or for a legal duty. How long particular information is kept depends on the type of information and the requirements that apply. These Terms do not set a fixed number of days for deletion. Customers should keep copies of records they need before they close an account.
17. Disclaimers and limitations of liability
Baligyo is provided to help a business run its operations. It is not a guarantee that every record, report, receipt, or inventory figure will be free of errors, or that the service will meet a particular accounting, tax, or legal result. The customer checks the information it relies on.
To the extent Philippine law allows, Baligyo is not liable for indirect or consequential loss, or for loss that results from the customer's own records, users, or failure to keep independent copies. Nothing in these Terms excludes or limits liability that Philippine law does not allow to be excluded or limited, including liability that cannot be waived. These Terms do not set a fixed monetary cap.
18. Indemnification, where lawfully applicable
To the extent Philippine law allows, the customer is responsible for claims brought against Baligyo that arise from the customer's unlawful content, from records the customer had no right to submit, or from misuse of the platform by the customer or its users. This responsibility does not require the customer to waive a right that cannot lawfully be waived, and it does not shift responsibility for Baligyo's own unlawful conduct.
19. Changes to the service or Terms
Baligyo may change the platform as the product develops, including plan features that are shown in the product. Baligyo may also update these Terms when the service, practices, or legal requirements change. The date below is updated when these Terms are revised in substance. It does not change on every visit or every software build.
Material changes will be communicated when required. Continued use after an update takes effect is acceptance of the updated Terms, except where the law requires a different form of notice or consent. Future fees are those shown in the subscription information at the time they apply. These Terms do not give Baligyo an unconditional right to change a fee retroactively for a period that has already been paid.

20. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of the Philippines. If a dispute arises, contact [email protected] first so the parties can try to resolve it. Courts in the Philippines may hear disputes that are not resolved, without taking away a forum or remedy that Philippine law requires a party to be able to use.
